The RoleWe are seeking a highly motivated attorney with experience in structured finance / secured lending to join our wonderful legal team as Corporate Counsel. This person will play a key role in Prosper’s business, partnering closely with our Capital Markets team on a broad range of transactional matters, including institutional loan sales and servicing, credit facilities, securitizations and advising on operations, marketing and strategy related to Capital Markets. This attorney is collaborative, able to thrive in a fast-paced, complex environment, and is comfortable advising all levels of the business and management on relevant legal issues. This role will report to the Sr. Corporate Counsel.Problems You Will SolveProvide creative legal solutions for complex Capital Markets transactions, such as credit facilities and securitizationsReview and negotiate transaction documents for new clients, including agreements for the sale and servicing of unsecured consumer loansAdvise Capital Markets on non-disclosure agreements, engagement letters and transaction agreementsReview and negotiate contracts for existing clients, including multi-party agreements with leverage providers, account control agreements, asset transfer agreements, and back up servicing agreementsProvide ongoing guidance and support to Capital Markets team for interpretation of existing agreements and client communicationsCoordinate and execute closings of large transactionsAdvise on related strategic, operational and marketing mattersDevise processes to help support a rapidly-growing businessProvide occasional support to legal team on commercial agreementsAbout YouExperience in capital markets and structured financeExperience leading transactional negotiationsGreat interpersonal skills and ability to collaborate and communicate with a variety of stakeholders in a fast-paced environmentExceptional judgment and creativity, with the ability to think strategically and give practical advice appropriately balancing legal, pragmatic and business-focused objectivesDemonstrated ability to take ownership and resolve issues with minimal supervisionAttention to detail, with excellent organizational skills and strong work ethicProven ability to manage multiple projects concurrently in an evolving environmentEffective and persuasive written and oral communication skillsJ.D. degree and be a state bar member or in house qualification in good standingFour+ years of combined law firm, government and/or in-house legal department experience, with increasing or suitable responsibilityWhat We Offer YouThe opportunity to collaborate with a team of creative, fun, and driven colleagues on products that have an immediate and significant impact on people's livesThe opportunity to work in a fast-paced environment with experienced industry leadersFlexible time off, comprehensive health coverage, competitive salary, paid parental leaveWellness benefits including access to mental health resources, virtual HIIT and yoga workoutsA bevy of other perks including Udemy access, childcare assistance, pet insurance discounts, legal assistance, and additional discounts.
